• These Terms and Conditions govern the use of the SiteOnTheNet Web site and its Services.
  
  
• In this Agreement all references to 'SiteOnTheNet', 'we', 'us' means , provider of SiteOnTheNet and its Services. All references to 'you', your', 'yourself', 'customer(s)' means Client. All references to 'Service(s)' or 'service(s)' means, but is not limited to; the SiteOnTheNet Web site, domain registration and management, hosting, email, tracking and autoresponder services, ebook and software access and any services, goods or facilities provided by us.
  
  
• By using the SiteOnTheNet Web site, hosting services, any support services, any SiteOnTheNet software, or any other products or services of SiteOnTheNet, you agree to be bound by the terms of this Agreement. SiteOnTheNet reserves the right to change, amend and/or otherwise alter the SiteOnTheNet services with equivalent or otherwise equal services without prior notice to you.
  
  
• The terms contained herein supersede and replace any other agreement or negotiation between you and SiteOnTheNet, whether oral, written or otherwise, including any statements made to you by any representative of SiteOnTheNet at any time.
  
  
• SiteOnTheNet reserves the right to cancel any account, including files and content, for any reason, or no reason at all, at any time.
  
  
• Clients with access to SiteOnTheNet services must be at least 18 years of age or require the approval of the minor's legal guardian.

Supply of Services

• SiteOnTheNet provides Services, exercising reasonable skill and care, on an 'as is, as available' basis.
  
  
• Further, we provide no warranty, written, expressed or implied, for any Services provided, including, without limitation, warranty of the merchantability and warranty of fitness for a particular purpose. This no warranty expressly includes any reimbursement for losses of income due to disruption of Service by SiteOnTheNet beyond the fees paid to us for Services and will be subject, at all times, to disruption of Service caused by routine or emergency maintenance by you or occasioned by third parties for which we will not be liable to you or any third party for any losses whatsoever.

• You warrant that you will use the Services in a manner consistent and compliant with any and all applicable laws of the United Kingdom and, where not in conflict with those aforementioned, those of your community, state, province or municipality.

• Use of any information obtained by way of SiteOnTheNet is at your own risk, and SiteOnTheNet specifically denies any responsibility for the accuracy or quality of information obtained through its Services. SiteOnTheNet makes no warranty, written, expressed or implied of any guaranteed uptime, or that the Services will function at a reliable level based on past performance.

• SiteOnTheNet is not responsible for any damages arising from your use of our site or by your inability to use the Services for any reason.

• SiteOnTheNet shall make every reasonable effort to ensure that data stored on its servers is protected but is not responsible for data, files, or directories hosted on it's servers under your Service account and accepts no responsibility for data loss or corruption. Data backups are carried out in the event of systems failure but SiteOnTheNet do not provide data restoration facilities for individual customers - you are solely responsible for maintaining your own data, files and back-ups.
  

Limit of Liability

• SiteOnTheNet shall not be liable for any content posted, opinions expressed, or actions taken by any of the users of our Services. Any conduct that violates the law, regulation, or the accepted norms of the Internet community or the Community standards in which you live, whether expressly mentioned in this Agreement or not, is strictly prohibited.
  
  
• SiteOnTheNet reserves the exclusive right to prohibit any activities that we deem will adversely affect our commercial reputation or goodwill, endanger our systems or network or impact our clients or agents or expose us to liability or tort.

Modification of Agreement

• SiteOnTheNet reserves the right to add, modify or delete any provision of this Agreement at any time and without notice. SiteOnTheNet reserves the exclusive right and will be the sole arbiters as to what constitutes a violation of any of these provisions. Any amendments, changes, additions, deletions or other modifications of this Agreement are void unless specifically expressed in writing and agreed to by SiteOnTheNet.

Misuse of System Resources

• It is a violation for you (or anyone) to, including but not limited to, employ posts or programs which consume excessive CPU time, server memory, or storage space; permit the use of mail services, mail forwarding capabilities, POP accounts, auto responders other than for your own account; or resell server space or Services allocated under your account or resell access to CGI scripts installed on our servers to any third party.
  
  
• SiteOnTheNet reserves the right to terminate any Service or process that uses a disproportionate amount of any system resources immediately and without notice to you.

Potentially Tortuous or Illegal Conduct

The following shall be construed as violations of this Agreement and may result in suspension or deletion of your account or Termination of this Agreement:

• SiteOnTheNet products and Services may only be used for lawful purposes. Transmission, distribution or storage of any material in violation of any applicable law or regulation is strictly prohibited. This includes, without limitation, material protected by copyright, trademark, trade secret or other intellectual property right used without proper authorization, or material that is obscene, defamatory, constitutes an illegal threat, or violates export control laws.
  
  
• Non-acceptable content or links may include, but is not limited to: Pirated software, Hackers programs or archives, Warez, Game Mods or Patches, Irc Bots, Chat Sites/Servers, Pornography and Adult Content, TGP or any other file or media deemed by SiteOnTheNet to be illegal or for which the you do not have the legal right to use, post or otherwise store on our servers.
  
  
• No one shall post defamatory, scandalous, or private information about a person without their consent, with intention to inflict emotional distress, or violating trademarks, copyrights, or other intellectual property rights.
  
  
• Sending of unsolicited email messages (SPAM/UCE/UBE) from or through our servers, including, without limitation, commercial advertising or informational announcements, will not be tolerated and shall be prohibited. SiteOnTheNet reserves the right to terminate this Agreement and your account, without refund, if we determine that unsolicited mass email has occurred or if we receive complaints that unsolicited email messages have been sent from your Services account. You will also be liable for a punitive fine of £900.
  
  
• Posting to any Usenet or other newsgroup, forum, email mailing list or other similar group or list articles with the intent to engage in commercial advertising or informational announcements.
  
  
• Engaging in any of the foregoing activities using the Service of a third party, but channeling such activities through a SiteOnTheNet server, or using a SiteOnTheNet server as a mail drop for responses.
  
  
• Any unauthorized distribution or copying of copyrighted material, violations of UK export restrictions, harassment, fraud, dealing in contraband, and other illegal activities, or dealing in content and material that has been deemed illegal in your community, state, province or municipality.
  
  
• Falsifying any user information provided to SiteOnTheNet, its agents or to other users of the Service in connection with the use of a SiteOnTheNet Service.

System and Network Security

• Violations of system or network security are strictly prohibited, and may result in criminal or civil liability. Examples include, but are not limited to: allowing unauthorized access, use, probe, or scan of any SiteOnTheNet system, security, authentication measures, data or traffic, interference with Service to any user, host or network, mail bombing, flooding, attempts to overload a system or broadcast attacks.
  
  
• You shall not engage in forging of any TCP-IP packet header, email headers or any other information provided or passed through SiteOnTheNet systems or network at any time.
  
  
• All modifications, alterations and updates to data, files or directories within your Service account shall be made by you using the online account management areas, FTP access or SSH access where available. User ID(s) and password(s) will be issued to you upon activation of your Service account. You are responsible for taking all reasonable steps to maintain the confidentiality of this information and agree to notify us immediately you suspect this information may have become known to any unauthorised persons. Password(s) will be changed and reissued.

Domain Name Agreements, Restrictions and Transfer Policies

• The registration, transfer and use of your domain name is subject to the terms and conditions applied by the relevant naming authorities (www.icann.org for .com .net .org .biz .info, www.nominet.org.uk for .co.uk .org.uk .me.uk & www.eurid.eu for .eu)
  
  
• We make no warranty and accept no responsibility that a domain name requested by you will be accepted by the relevant naming authority for registration; nor will we be liable for any costs you incur if an application for registration fails for any reason. Further, we accept no responsibility for any liability to third parties for any breach of their Intellectual Property Rights in relation to your requested domain name.
  
  
• SiteOnTheNet does not guarantee that all domain name transfers or updates to DNS records, MX records, Aliasing Records, URL forwarding, domain name forwarding, Registrar or DNS-related Service or product will succeed.
  
  
• SiteOnTheNet shall not be responsible for updating any of the DNS records or entries for transferred domain names. You shall have sole responsibility for ensuring that all relevant DNS entries for domain name(s) are correct. Fees paid for transferred domain names are not refundable if the transfer fails for any reason. This may include, but is not limited to: timeouts resulting from a delay in owner or registry approval, incorrect contact information in the WHOIS record, or attempted transfers of domains that are not transferable for any other reason.

Renewal of your Account

Renewal of your account shall be automatic until cancelled by you. Accounts shall be automatically renewed according to the terms set forth in this Agreement unless you submit a notice of cancellation to SiteOnTheNet, through your account management area.

Payment and Compensation

• SiteOnTheNet does not provide credit facilities.
  
  
• Payment for all products and services is due in advance, unless specifically stated otherwise in an offer or promotion pursuant to which you have ordered or are ordering the SiteOnTheNet services. All payments for SiteOnTheNet services will be made through PayPal unless otherwise stated.
  
  
• You agree to pay for 'monthly' packages 1 month in advance, 'quarterly' packages 3 months in advance, 'yearly' packages 12 months in advance, and prorata adjustments to monthly, quarterly and yearly rates (if any) through a PayPal subscriptions account.
  
  Note: We are only able to accept payments from countries accepted by PayPal. These include: Anguilla, Argentina, Australia, Austria, Belgium, Brazil, Canada, Chile, China, Costa Rica, Cyprus, Czech Republic, Denmark, Dominican Republic, Ecuador, Estonia, Finland, France, Germany, Greece, HongKong, Hungary, Iceland, India, Ireland, Israel, Italy, Jamaica, Japan, Latvia, Lithuania, Luxembourg, Malaysia, Malta, Mexico, Netherlands, New Zealand, Norway, Poland, Portugal, Singapore, Slovakia, Slovenia, South Africa, South Korea, Spain, Sweden, Switzerland, Taiwan, Thailand, Turkey, United Kingdom, United States, Uruguay, Venezuela.
  
  
• If for any reason payment through PayPal does not clear with PayPal on three attempts your Service account will be suspended. Your account will remain suspended until payments are brought up-to-date. Service fees will continue to accrue during suspension.
  
  
• Cancellation of payment for any Services under this Agreement conducted via a credit card chargeback will not be tolerated. Upon notification of a chargeback we will terminate your Service account immediately and you will also be liable for a punitive fine of £30. The same punitive fine will be incurred if payments made are then rejected by PayPal.
  
  
• SiteOnTheNet shall be entitled to vary its charges periodically and will notify you via email no later than 6 weeks before any variation of charges shall come into force.
  
  
• You are solely responsible for all hosting and billing payments to SiteOnTheNet and agree to hold us harmless for any interruption of any Services provided to you by SiteOnTheNet under this Agreement.

Promotions and Offers

• SiteOnTheNet reserves the right to offer promotional rates which may or may not be more favourable than the terms under which you entered this Agreement. Any such periodic special rates shall not affect the then existing right and responsibilities of each party. Promotional offers and rates may not be combined.
  

Money Back Guarantee

• Services provided by SiteOnTheNet (requiring payment by you to access) are subject to a 30-day Money Back Guarantee with the following exceptions, which are non-refundable: fees charged for domain registrations and renewals, full domain transfers, and Secure Server Certification.
  
  
• Each Client is allowed to use the Money Back Guarantee once only, and for one account only. Any upgrade of a service account or switching from an existing SiteOnTheNet account by a Client within our 30-day Money Back Guarantee will be considered a waiver of the Money Back Guarantee and an acceptance of the prevailing rates and fees.
  
  

Account Cancellation  - Notification, Fees or Refunds

• Cancellations can be made at any time through our Client help desk.
  
  
• Cancellations for Services received within our 30-day Money Back Guarantee will receive a full refund excluding any fees for domain registration or renewal, full domain transfers, and Secure Server Certification.
  
  
• Any Client whose account has been suspended or terminated due to the breach of any part of the SiteOnTheNet Terms and Conditions has automatically forfeited the right to use the SiteOnTheNet Money Back Guarantee.
  
  
• SiteOnTheNet may grant refunds under any other circumstance it deems appropriate without waiving any other rights hereunder.
  
  
• All refunds are made through PayPal.
  

Consequences of Violation

• If SiteOnTheNet becomes aware of an alleged violation of any of the terms contained in this Agreement, or any other policy that has been posted on its Web sites, made available to the you via email, or posted in any other form, we shall initiate an investigation.
  
  
• During the investigation, we may restrict your access to SiteOnTheNet Services in order to prevent further possible unauthorized activity. We may, at our sole discretion, restrict, suspend, or terminate your account without notice or refund, or pursue civil remedies as deemed necessary. SiteOnTheNet shall notify the appropriate law enforcement department of any such violations.
  
  
• SiteOnTheNet shall not be responsible for any payment, refunds, or compensation in any way for Service disruptions or termination resulting from violations of this Agreement.

Non-Disclosure

Proprietary information exchanged hereforth shall be treated as such by you and held in the strictest of confidence. This information shall include, but not be limited to, our practices, methodology and procedures. You further agree to not distribute, decompose, disassemble, decode or reverse engineer any SiteOnTheNet program delivered to you or any portion thereof without prior written approval of SiteOnTheNet.

Transfer of Rights

You may not assign or transfer this Agreement, in whole or in part without the prior written consent of SiteOnTheNet.

Termination

SiteOnTheNet may terminate this Agreement at its sole discretion upon the occurrence of one or more of the following events:

• failure to comply with any provisions of the Agreement upon receipt of written notice from us of said failure,
  
  
• appointment of receiver or upon the filing of any application by you seeking relief from creditors,
  
  
• upon mutual agreement in writing of SiteOnTheNet and the yourself.
  
  
• by SiteOnTheNet if it is no longer in business or company assets have been sold.
  

Disputes

If legal proceedings are commenced to resolve a dispute arising out of, or relating to this Agreement, the prevailing party shall be entitled to recover all costs, legal fees, and expert witness fees as well as any costs or legal fees in connection with any appeals.

Indemnification

You shall indemnify and hold SiteOnTheNet, its employees and agents harmless from and against any and all claims, judgments, awards, costs, expenses, damages and liabilities (including reasonable solicitor fees) of whatsoever kind and nature that may be asserted, granted or imposed against SiteOnTheNet directly or indirectly arising out of or related to your use of our Services or products or any breach of this Agreement by you.

Disclaimer Regarding Money Making Opportunities

With regard to the opportunities, strategies, and programs featured at SiteOnTheNet, or in the books, articles, reports, or newsletters published at SiteOnTheNet, we make no implications, warranties, promises, suggestions, or guarantees whatsoever, in whole or in part, that by joining, responding to, following, or adhering to any program or information featured anywhere on the SiteOnTheNet Web site that you will achieve whatever the content in question may appear to imply - your success in these or any efforts depends on numerous factors, including background, dedication, desire and motivation. As with any business endeavour, there is an inherent risk of loss of capital and there is no guarantee that you will earn any money.

We assume no responsibility for any losses or damages resulting from your use of any link, information, or opportunity featured anywhere on the SiteOnTheNet Web site, within any publication authored or distributed by SiteOnTheNet, or within any information disclosed by SiteOnTheNet in any form whatsoever.

Distant Selling

SiteOnTheNet supplies all Services in accordance with the UK Consumer Protection (Distance Selling) Regulations 2000. Services supplied by SiteOnTheNet to business customers are excluded from the Regulations.

Force Majeure

Neither party shall be held responsible for delay or failure in performance hereunder caused by acts of nature, strikes, embargoes, fires, war or other causes beyond their reasonable control.

Binding Effect

If any provision of this Agreement is held to be unenforceable, the enforceability of the remaining provisions shall in no way be affected or impaired thereby. This Agreement and any disputes arising hereunder shall be governed in accordance with the law of England, without regard to conflicts of law principles. A failure by any party to exercise or delay in exercising a right or power conferred upon it in this Agreement shall not operate as a waiver of any such right or power.
